Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement entered into between you (whether individually or on behalf of an entity, "User", "you", or "your") and Seopod Inc. ("Seopod", "we", "us", or "our"), governing your access to and use of seopod.net and all associated software, applications, features, and application programming interfaces (collectively, the "Service").

By creating an account, authenticating through Google OAuth, purchasing a subscription or credits, or using the Service in any manner, you expressly confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.

2. Description of Service

Seopod is an organic search intelligence and SEO automation software-as-a-service platform. The platform equips growth teams, digital agencies, and website operators with tools to analyze search engine performance, uncover keyword opportunities, audit technical website health, monitor backlink profiles, and automate internal linking architectures.

Key capabilities of the Service include:

  • Organic Search Intelligence: Google Search Console API synchronization, query-to-page opportunity matrices, and search query tracking.
  • Keyword Research & SERP Tracking: Daily keyword rank tracking, SERP volatility monitoring, search volume queries, and intent categorization powered by live search data.
  • Technical Site Auditing: On-page technical audits, crawl diagnostics, internal link discovery, and orphan page detection.
  • Semantic Internal Linking: Content relationship mapping, topical clustering, and suggested internal link placements.

We reserve the right to modify, enhance, update, or temporarily suspend portions of the Service to implement performance improvements, security patches, or feature updates.

3. User Accounts and Authentication

To access the platform, you must create a workspace account authenticated via Google OAuth. You agree to provide accurate, complete, and current information during the authentication process.

Account Security

You are solely responsible for maintaining the confidentiality of your authentication credentials, safeguarding connected API tokens, and monitoring all activities occurring under your account.

Zero Account Sharing

Each user seat is tied to an authenticated identity. You agree not to resell, lease, sublicense, or share your account credentials with unauthorized third parties outside your designated workspace.

Automated Extraction Ban

You agree not to deploy automated crawlers, scrapers, headless scripts, or reverse-engineering tools against the Seopod application interface, internal APIs, or database structures.

You must immediately notify Seopod at support@seopod.net if you suspect any unauthorized access or security breach affecting your account.

4. Subscription and Credit Billing

Seopod operates on a transparent, cost-effective hybrid billing structure combining an accessible base workspace subscription with 1:1 usage credits for data-intensive provider queries.

Hybrid Billing & Usage Credit Model

Our billing model is structured to eliminate expensive enterprise seat penalties while providing direct pass-through rates for live SERP and backlink data:

  • Base Subscription ($10/month): Activates full workspace access, unlimited projects, unlimited team seats, continuous Google Search Console reporting, and includes $10 in usable platform credits every monthly billing cycle.
  • 1:1 Credit Consumption: Data-intensive operations (such as live SERP fetches, keyword discovery, and backlink lookups powered by DataForSEO) consume credits dollar-for-dollar based on published, transparent operational rates.
  • Top-Up Credits: If your monthly usage exceeds the $10 credit included with your base plan, you can purchase additional top-up credits at any time. Unused top-up credits remain in your balance while your subscription is active.
  • Non-Refundable Consumed Credits: Once a data query, crawl task, or SERP tracking job is dispatched and completed by upstream provider APIs, the consumed credits are strictly non-refundable.
  • Cancellation Policy: You may cancel your subscription at any time via your workspace billing portal. Upon cancellation, you retain full access to your workspace and remaining credit balance until the conclusion of your current paid billing period. We do not provide prorated refunds for partial billing cycles.

All fees are quoted in United States Dollars (USD) and exclude applicable sales, use, or value-added taxes, which are the user's sole responsibility where required by law.

5. Acceptable Use Policy

You agree to use the Service solely for lawful commercial and analytical purposes and in compliance with all applicable local, national, and international laws and regulations. You specifically agree not to:

  • Submit target domain names, websites, or data sources for which you lack authorization or legitimate analytical interest.
  • Impose unreasonable, disproportionate, or abusive loads on our infrastructure or upstream provider networks (including DataForSEO and Google APIs).
  • Circumvent, bypass, or disable rate limits, authentication barriers, or security safeguards implemented by Seopod.
  • Transmit malicious code, viruses, automated exploits, or harmful payloads through connected web properties or API endpoints.
  • Use the platform or its output to construct a competing commercial software product, public API wrapper, or unauthorized database replica.

Violations of this Acceptable Use Policy may result in immediate suspension or termination of your workspace without refund.

6. Intellectual Property

The platform, including its software code, proprietary algorithms, query opportunity calculations, internal linking heuristics, visual user interface, branding, and design tokens, is the exclusive intellectual property of Seopod Inc. and its licensors.

User Data Ownership: You retain complete ownership of all website assets, domain data, proprietary content, and Google Search Console performance data synchronized with your workspace. By using the Service, you grant Seopod a limited, non-exclusive license to process and display this data solely as necessary to provide the features and reports requested by you.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

No Guarantee of Ranking or Algorithm Outcomes: Search engines (including Google, Microsoft Bing, and others) periodically modify ranking algorithms and indexing behaviors at their sole discretion. Seopod provides analytics, recommendations, and diagnostic intelligence, but makes NO representation, warranty, or guarantee that use of the Service will result in improved search engine rankings, specific traffic volumes, indexing priority, or commercial revenue.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEOPOD INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE.

IN NO EVENT SHALL SEOPOD'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO SEOPOD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8. Termination

You may terminate your agreement with Seopod at any time by canceling your subscription and discontinuing all use of the platform.

Seopod reserves the right to suspend or terminate your access to the Service immediately and without prior notice in the event of: (a) a material breach of these Terms, (b) abusive or fraudulent activity, (c) failure to pay applicable subscription or credit fees, or (d) requests by law enforcement or regulatory authorities.

Upon termination, all licenses granted to you under these Terms immediately cease. Provisions regarding Intellectual Property, Billing & Non-Refundability of Consumed Credits, Disclaimers, Limitation of Liability, Dispute Resolution, and Miscellaneous terms will survive termination.

9. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any choice of law or conflict of law provisions.

In the event of any controversy or dispute, the parties agree to first attempt in good faith to resolve the matter informally by contacting support@seopod.net. If informal resolution is unsuccessful within thirty (30) days, the dispute shall be resolved through binding arbitration or state/federal courts located in the designated jurisdiction.
